General terms

These Terms of Service govern access to Lumivara services and content offered through xrovira.biz. By using our services you accept these terms. Our offerings are designed to support professional development in leadership and business; use should be consistent with the intended purposes.

Eligibility

Clients must be legally capable of entering into binding contracts and provide accurate information during registration. By engaging with Lumivara you confirm that you meet eligibility requirements and will comply with applicable laws.

Individuals must be at least 18 years of age to participate in our paid coaching and mentoring programs unless a specific program states otherwise and appropriate consent is provided.

You agree to use Lumivara services for lawful purposes only and not to exploit our platform for activities that infringe the rights of others or violate applicable regulations.

Some services may not be available in certain jurisdictions. It is your responsibility to ensure that participation is lawful in your country of residence. We operate primarily from Singapore.

Account and access

Certain parts of our service require a registered account. You are responsible for maintaining accurate account information and for the security of your credentials.

You must provide current, complete and accurate information and promptly update it if it changes. Incorrect information may affect service delivery.

Protect your account credentials and notify us immediately of any unauthorized use. We will take reasonable steps to secure user accounts and maintain administrative safeguards.

Accounts and subscriptions are non-transferable without our prior written consent. Attempted transfers may be voided at our discretion.

If you suspect your account has been compromised, notify Lumivara promptly at [email protected] so we can take appropriate corrective measures.

We may suspend or terminate accounts that breach these terms, engage in abusive conduct, or pose a security risk. We will provide notice where practicable.

Services provided

Lumivara provides executive leadership coaching, tailored mentoring, assessment, and development programs. Service scope, deliverables, timelines and fees are set out in the engagement agreement for each client.

We reserve the right to modify services, content, and available tools. Substantial changes to an active agreement will be communicated to affected clients and, where appropriate, reflected in amended engagement documents.

Service delivery is subject to scheduling, resource availability, and client cooperation. We will make reasonable efforts to maintain availability but cannot ensure uninterrupted access.

Usage rules and conduct

To preserve a professional and effective environment, clients and participants must follow these rules:

  • Engage respectfully with coaches, mentors and peers; abusive or discriminatory conduct is not tolerated.
  • Provide accurate information relevant to the coaching or mentoring process and be transparent about conflicts or constraints.
  • Use materials and intellectual property in compliance with these terms and any license restrictions.
  • Attend scheduled sessions punctually and communicate cancellations as specified in the engagement agreement.
  • Refrain from recording sessions without prior written consent from Lumivara and other participants.
  • Respect confidentiality agreements and do not disclose sensitive client or company information shared during sessions.
  • Comply with applicable laws and regulations when participating in our programs.

User content

Materials you provide to Lumivara in the course of coaching or mentoring (user content) are used to deliver services and improve outcomes. You retain ownership of your user content.

You represent that you have the rights necessary to provide user content and to permit Lumivara to use it for the purposes described in the engagement agreement.

By submitting user content you grant Lumivara a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify such content solely for delivering the agreed services and improving internal methodologies.

You are responsible for the legality and accuracy of user content. Lumivara is not liable for harm resulting from untruthful or unlawful user content.

Where user content must be removed for legal or security reasons, we will take reasonable steps to remove access and notify the user where possible.

Intellectual property

All Lumivara intellectual property including methodologies, course materials, templates, and branding remain the exclusive property of Lumivara unless otherwise agreed in writing.

  • Do not reproduce, distribute, or create derivative works from Lumivara materials without express written permission.
  • Use of Lumivara activity and logos requires prior approval and must comply with brand guidelines.
  • Licensed materials provided for client use are for internal business purposes only and must not be resold or publicly published.

Paid services

Paid services include bespoke coaching, assessment tools, workshops, and subscription content. Fees and deliverables are defined in client proposals and engagement agreements.

Pricing is determined based on scope, duration, and resources required. Quotations are valid for the period stated and may change thereafter.

Unless otherwise agreed, fees are payable according to the schedule in the engagement agreement. Accepted payment methods will be set out on invoices and our client portal.

Subscription services renew automatically unless canceled per the terms of the engagement. Clients may manage subscription preferences through their account or by contacting our team.

Refunds are considered on a case-by-case basis and will be handled in accordance with the engagement agreement and applicable consumer protection laws. We aim to resolve disputes fairly and professionally.

Cancellation terms and notice periods are specified in the engagement agreement. Where notice is required, clients should follow the written cancellation procedure to avoid additional fees.

Clients are responsible for all applicable taxes related to service fees. Invoices will indicate taxes where required by law.

We may adjust pricing for future services; existing engagement agreements will be honored unless renegotiation is required and agreed by both parties.

Non-payment may result in suspension of services and collection activity. We will notify clients of payment issues and seek to resolve them collaboratively.

Professional disclaimer

Lumivara provides professional coaching and mentoring based on accepted practices in leadership development. Outcomes depend on individual circumstances, commitment, and organisational context. We cannot ensure specific results and encourage clients to assess suitability prior to engagement.

Limitation of liability

To the fullest extent permitted by law, Lumivara's liability for any loss arising from use of our services is limited to direct damages up to the total fees paid for the relevant service period. We are not liable for indirect, incidental, or consequential losses.

Third-party services

We may recommend third-party tools, assessments, or service providers. Such recommendations do not imply endorsement, and Lumivara is not responsible for third-party performance or practices.

Termination

Either party may terminate the engagement in accordance with the termination provisions of the engagement agreement. Termination does not affect accrued rights or obligations.

Upon termination, outstanding fees and expenses become payable. We will return client materials as agreed and retain records as required by law and professional standards.

Privacy and data protection

We process personal data in accordance with our Privacy Policy. Personal data will be used to provide services, manage relationships, and meet legal obligations. Contact [email protected] for privacy enquiries.

Communications

We may communicate via email, phone or other channels for service delivery. By engaging with Lumivara you consent to receiving communications relevant to your engagements and professional development.

Changes to terms

We may update these terms to reflect legal or operational changes. Clients will be notified of material changes and given the opportunity to review revised terms where required.

Governing law

These terms are governed by the laws of Singapore. Any disputes will be subject to the exclusive jurisdiction of Singapore courts unless otherwise agreed in writing.

Dispute resolution

We aim to resolve disputes amicably through internal escalation and mediation. If unresolved, disputes may be submitted to arbitration or courts as set out in the engagement agreement.
